Understanding the Building Blocks of Technology Licensing Agreement

Licensing is a continuing relationship between two parties and such a relationship is unlikely to form if one party or the other is not satisfied with the terms of the contract. There are many factors to consider when licensing such as the importance of diligently preparing for a licence, valuing technology and structuring the content of an agreement.

This programme provides an introduction to some of the basic issues that arise in technology licensing negotiations and some practical hints as to how they may best be addressed and dealt with. With better understanding, both the licensor and licensee may be able to negotiate a "win-win" agreement.

Join our guest speaker, Dr Noel Bryne, who would drill down to the key issues in technology licensing agreements such as due diligence, royalty terms and problem clauses in licensing agreements.

Through the use of case studies, Dr Bryne will discuss the drafting, implications and attendant consequences for the licensor or different clauses of an agreement and also patent infringement issues that would arise from unlicensed competition.
